Terms of Service

1. Acceptance of terms

By accessing the NxtPrism website or engaging our services, you agree to these Terms of Service and our Privacy Policy. If you do not agree, please do not use our services.

2. Our services

NxtPrism provides cloud, DevOps, DevSecOps, AI engineering, platform engineering and infrastructure consulting services. Specific deliverables, timelines and fees are defined in a written Statement of Work (SOW) or Master Services Agreement (MSA) executed separately.

3. Intellectual property

Unless agreed otherwise in writing:

• Deliverables created for you become your property upon full payment
• Pre-existing NxtPrism tools, frameworks and methodologies remain our property and are licensed to you for the purpose of the engagement
• You grant us a limited license to use your logos and metrics in public case studies (with your written approval)

4. Fees and payment

Fees are specified in each SOW. Invoices are due within 30 days unless otherwise agreed. Late payments may pause active work. Fixed-scope projects include one reasonable revision cycle; additional scope is quoted separately.

5. Client responsibilities

You agree to provide timely access to systems, environments, stakeholders and information reasonably required to deliver the services, and to designate a single point of contact.

6. Confidentiality

Each party agrees to keep confidential information strictly confidential and use it only to perform the engagement. NDA obligations survive termination for the longest period permitted by law (but not less than 3 years).

7. Warranties and disclaimer

We perform services with professional care and skill. Except as expressly stated in an SOW, services are provided 'as is' and we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

8. Limitation of liability

To the maximum extent permitted by law, our total aggregate liability arising from an engagement is limited to the fees paid for the services giving rise to the claim. We are not liable for indirect, incidental, special or consequential damages.

9. Term and termination

Engagements may be terminated by either party with 30 days' written notice, or immediately for material breach. You pay for services rendered through the effective termination date.

10. Website use

Content on this website is provided for general information and does not constitute professional advice. You may not scrape, reverse-engineer or misuse our website or services.

11. Governing law

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Disputes are subject to the exclusive jurisdiction of the courts of Hyderabad, Telangana, India.
